## 1. Who we are
This website (harri.hr) and the HARRI platform are owned and operated by **Pro Legal Group Limited**, a company registered in England and Wales under company number 13959089 (incorporated 7 March 2022). Registered office: PLC House, Staplehurst Lodge, Staplehurst Road, Sittingbourne, Kent, ME10 1XP. VAT number: GB 428 1976 68. ICO registration number: ZB545188.
Pro Legal Group Limited operates a number of related domains including www.plc-group.co.uk, www.plc-group.uk, www.plc-group.limited, and www.plcgroup.limited. The principal group website is www.plc-group.co.uk.
In these terms, "**we**", "**us**", "**our**", and "**Pro Legal Group**" refer to Pro Legal Group Limited. "**You**" and "**your**" refer to any person accessing harri.hr or using the HARRI platform.

## 2. About HARRI
HARRI (HR Administration, Records, Reviews and Intelligence) is a multi-tenant human resources management platform provided by Pro Legal Group Limited to client organisations and their authorised users. HARRI is supplied as a software service; access is governed by a separate written services agreement between Pro Legal Group Limited and each client organisation, which prevails over these terms in the event of conflict.
HARRI is a software platform. It is not a substitute for qualified human resources, legal, or other professional advice. Information, templates, and content made available through HARRI are provided for general guidance only and should not be relied upon as professional advice in respect of any specific circumstances.

## 3. Acceptance of these terms
By accessing harri.hr, by logging into the HARRI platform, or by otherwise using any HARRI service, you confirm that you have read, understood, and agreed to these terms. If you do not agree, you must not use the site or the platform.
If you are accessing HARRI on behalf of an organisation, you confirm that you are authorised to do so and that the organisation accepts these terms on your behalf.
We may update these terms from time to time. The version in force is the version published at harri.hr at the date of access. Material changes will be notified to registered users by email or in-platform notification.

## 4. Permitted use
You may use harri.hr and the HARRI platform only:
- For purposes properly related to the management of your own organisation's human resources function (or, where you are an HR consultancy client, the HR function of your client organisations under a properly constituted data processing relationship); - In accordance with the role-based permissions granted to you by your organisation; - In compliance with all applicable laws, including UK data protection law; - In accordance with the separate services agreement governing your organisation's use of HARRI.
You must not:
- Attempt to access data belonging to any organisation other than your own (or a client organisation you are properly authorised to administer); - Use HARRI to process personal data in breach of UK GDPR, the Data Protection Act 2018, or any other applicable data protection law; - Reverse-engineer, decompile, or otherwise attempt to derive the source code of the platform; - Introduce viruses, trojans, worms, or other malicious code; - Use HARRI in any manner that could damage, disable, overburden, or impair the service; - Resell, sublicense, or otherwise commercially exploit access to HARRI without our prior written consent.
We reserve the right to suspend or terminate access where we reasonably believe these terms have been breached.

## 5. Intellectual property
All intellectual property rights in HARRI — including without limitation the software, source code, database structure, user interface, branding, name "HARRI", the harri.hr domain, and all associated materials — are owned by or licensed to Pro Legal Group Limited.
You are granted a limited, non-exclusive, non-transferable licence to use HARRI for the permitted purposes described in section 4 and subject to the services agreement between your organisation and Pro Legal Group Limited. No other rights are granted.
The "Pro Legal Group" name, the PLC logo, and any related trade marks, service marks, and logos are the property of Pro Legal Group Limited and may not be used without our prior written consent.
Documents, policies, templates, and other content uploaded to HARRI by client organisations remain the property of the relevant client organisation. By uploading such content, the client grants Pro Legal Group Limited a limited licence to host, process, and display the content as necessary for the operation of the platform.

## 6. Data protection
Pro Legal Group Limited takes data protection seriously. The following is a summary; the full position is set out in our Privacy Notice and in the Data Processing Agreement entered into with each client organisation.
**Roles.** In respect of personal data processed in HARRI on behalf of client organisations (typically employee data), the client organisation is the data controller and Pro Legal Group Limited is the data processor. In respect of data we collect for our own purposes (for example, harri.hr website analytics, prospect enquiries, billing information), Pro Legal Group Limited is the data controller.
**Lawful basis.** Personal data is processed only on a lawful basis under Article 6 (and, where applicable, Article 9) of the UK GDPR. Lawful bases are recorded against each data category in HARRI and confirmed by the client organisation at tenant setup.
**Security.** HARRI is hosted in the United Kingdom. Data is encrypted in transit (TLS 1.3) and at rest (AES-256). Tenant data is logically isolated. Access to personal data by Pro Legal Group Limited staff is logged with a recorded justification and is visible to the relevant client administrator.
**Sub-processors.** A current list of sub-processors used in the operation of HARRI is maintained and made available to client administrators within the platform. Clients are notified in advance of material changes to the sub-processor list and have the right to object.
**Data subject rights.** Individuals whose personal data is processed in HARRI have the rights conferred by UK GDPR, including subject access, rectification, erasure, restriction, objection, and portability. Subject access requests may be submitted directly to the relevant client organisation through HARRI's in-platform DSAR workflow. Requests concerning data for which Pro Legal Group Limited is the controller may be made to hello@plc-group.co.uk pending appointment of a named Data Protection Officer.
**ICO registration.** Pro Legal Group Limited is registered with the Information Commissioner's Office under registration number ZB545188.

## 7. No professional advice
Content made available through harri.hr or the HARRI platform — including policy templates, workflow defaults, ACAS-aligned procedural prompts, retention rule defaults, and any guidance materials — is provided for general informational purposes only. It is not, and is not intended to be, legal advice, human resources advice, financial advice, or any other form of professional advice.
You should obtain qualified professional advice in respect of your specific circumstances before taking or refraining from any action based on content available through HARRI. No solicitor-client, consultant-client, or other professional relationship is created by your use of harri.hr or the HARRI platform unless and until a separate written engagement is agreed.
Where Pro Legal Group's HR consultancy services are provided to your organisation in conjunction with HARRI, those services are provided under a separate written engagement and are governed by the terms of that engagement.

## 8. Service availability and changes
We aim to maintain HARRI as a continuously available service but do not guarantee uninterrupted availability. Planned maintenance windows will be notified to client administrators in advance where reasonably practicable.
We may from time to time update, modify, or withdraw features of HARRI. Material changes affecting client organisations will be communicated through the platform or by email.

## 9. Limitation of liability
Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability under the Consumer Rights Act 2015 that cannot be excluded.
Subject to the above, and subject to the terms of any separate services agreement between Pro Legal Group Limited and the client organisation (which prevails in the event of conflict):
- HARRI is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all warranties, conditions, and representations not expressly set out in these terms, including any implied warranty as to satisfactory quality, fitness for a particular purpose, or compliance with description. - We are not liable for any loss or damage arising from your use of, or inability to use, harri.hr or the HARRI platform, except to the extent caused by our negligence or breach of these terms or the applicable services agreement. - We are not liable for indirect, consequential, or special losses, or for loss of profit, revenue, business, anticipated savings, goodwill, or data, howsoever arising. - Our total aggregate liability arising from or in connection with these terms and your use of harri.hr (other than for matters that cannot lawfully be excluded) is limited to the fees paid by your organisation to Pro Legal Group Limited in respect of the HARRI service in the twelve (12) months preceding the event giving rise to the claim, or £1,000, whichever is greater.
For the avoidance of doubt, content described in section 7 (no professional advice) is provided without warranty as to accuracy, completeness, or current applicability, and we accept no liability for reliance placed on such content.

harri.hr and the HARRI platform may contain links to third-party websites, including www.plc-group.co.uk (the website of the wider Pro Legal Group). Links to third-party sites are provided for convenience. We are not responsible for the content, privacy practices, or availability of third-party sites and the inclusion of any link does not imply endorsement.

## 11. Governing law and jurisdiction
These terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of England and Wales.
You irrevocably agree that the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms or their subject matter.
